Terms of Service:

 

The following terms and conditions govern all use of the Chorelink.com website and all content, services and products available at or through the website, including, but not limited to, the Chorelink.com alert service ("Chore Alert"), (taken together, the Website). The Website is owned and operated by Chorelink, LLC. ("Chorelink"). The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Chorelink's Privacy Policy) and procedures that may be published from time to time on this Site by Chorelink (collectively, the "Agreement").

 

Please read this Agreement carefully before using the Website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by Chorelink, acceptance is expressly limited to these terms. The Website is available only to individuals who are at least 13 years old.

 

  1. Your Chorelink.com Account and Site. If you create an account on the Website, you are responsible for maintaining your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the site. You must not post in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Chorelink may change or remove any description or post that it considers inappropriate or unlawful, or otherwise likely to cause Chorelink liability. You must immediately notify Chorelink of any unauthorized activity as a result of any posted service request, your account, or any other breaches of security. Chorelink will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions.

  2. Responsibility of Contributors. If you operate a public profile page, post a task, comment on blog posts, post material to the Website, post links on the Website, or otherwise make (or allow any third party to make) material available by means of the Website (any such material, "Content"), You are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, or computer software. By making Content available, you represent and warrant that:

    • the downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
    • if your employer has rights to intellectual property you create, you have either (i) received permission from your employer to post or make available the Content, including but not limited to any software, or (ii) secured from your employer a waiver as to all rights in or to the Content;
    • you have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms;
    • the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;
    • the Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);
    • the Content is not pornographic, does not contain threats or incite violence towards individuals or entities, and does not violate the privacy or publicity rights of any third party;
    • the Content is not getting advertised via unwanted electronic messages such as spam links on newsgroups, email lists, other blogs and web sites, and similar unsolicited promotional methods;
    • the Content is not named in a manner that misleads your readers into thinking that you are another person or company. For example, your blog's URL or name is not the name of a person other than yourself or company other than your own; and
    • you have, in the case of Content that includes computer code, accurately categorized and/or described the type, nature, uses and effects of the materials, whether requested to do so by Chorelink or otherwise.

    By submitting Content to Chorelink for inclusion on the Website, you grant Chorelink a world-wide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish the Content solely for the purpose of displaying, distributing and promoting your Content. If you delete Content, Chorelink will use reasonable efforts to remove it from the Website, but you acknowledge that caching or references to the Content may not be made immediately unavailable.

    Without limiting any of those representations or warranties, Chorelink has the right (though not the obligation) to, in Chorelink's sole discretion (i) refuse or remove any content that, in Chorelink's reasonable opinion, violates any Chorelink policy or is in any way harmful or objectionable, or (ii) terminate or deny access to and use of the Website to any individual or entity for any reason, in Chorelink's sole discretion. Chorelink will have no obligation to provide a refund of any amounts previously paid.

  3. Fees and Payment. Optional paid services such as "Chore Alert" subscriptions are available on the Website. By selecting a paid service you agree to pay Chorelink the monthly or annual subscription fees indicated for that service (the payment terms for the services are below). Payments will be charged on the day you sign up for a premium service and will cover the use of that service for a monthly or annual period as indicated. Service fees are not refundable.

  4. "Chore Alert" subscription services.

    • Fees; Payment. By signing up for any level of a "Chore Alert" subscription, you agree to pay Chorelink the monthly or annual respective fees in exchange for these services. Applicable fees will be charged starting from the day your Chore Alert subscription is established and in advance of using such services. Chorelink reserves the right to change the payment terms and fees upon ninety (90) days prior written notice to you. The first payment for any annual terms agreement will be made immediately upon registering for and/or subscribing to any "Service Alert" subscription and all subsequent payments will be made (drawn) automatically on the same day/date of each subsequent year until the subscription(s) is/are cancelled. "Chore Alert" subscriptions can be cancelled by you at anytime via your account dashboard.

  5. Responsibility of Website Visitors. Chorelink has not reviewed, and cannot review, all of the material posted to the Website, and cannot therefore be responsible for that material's content, use or effects. By operating the Website, Chorelink does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Website may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The Website may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated. Chorelink disclaims any responsibility for any harm resulting from the use by visitors of the Website, or from any downloading by those visitors of content there posted.

  6. Content Posted on Other Websites. We have not reviewed, and cannot review, all of the material made available through the websites and webpages to which Chorelink.com links, and that link to Chorelink.com. Chorelink does not have any control over those non-Chorelink websites and webpages, and is not responsible for their contents or their use. By linking to a non-Chorelink website or webpage, Chorelink does not represent or imply that it endorses such website or webpage. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Chorelink disclaims any responsibility for any harm resulting from your use of non-Chorelink websites and webpages.

  7. Copyright Infringement and DMCA Policy. As Chorelink asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by Chorelink.com violates your copyright, you are encouraged to notify Chorelink immediately. Chorelink will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. In the case of a visitor who may infringe or repeatedly infringes the copyrights or other intellectual property rights of Chorelink or others, Chorelink may, in its discretion, terminate or deny access to and use of the Website. In the case of such termination, Chorelink will have no obligation to provide a refund of any amounts previously paid to Chorelink.

  8. Intellectual Property. This Agreement does not transfer from Chorelink to you any Chorelink or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Chorelink. Chorelink, Chorelink.com, the Chorelink.com logo, and all other trademarks, service marks, graphics and logos used in connection with Chorelink.com, or the Website are trademarks or registered trademarks of Chorelink or Chorelink's licensors. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. Your use of the Website grants you no right or license to reproduce or otherwise use any Chorelink or third-party trademarks.

  9. Changes. Chorelink reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. Chorelink may also, in the future, offer new services and/or features through the Website (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

  10. Termination. Chorelink may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your Chorelink.com account (if you have one), you may simply discontinue using the Website. Notwithstanding the foregoing, if you have a "Service Alert" subscription account, such accounts can be terminated (cancelled) by Chorelink if you materially breach this Agreement and fail to cure such breach within thirty (30) days from Chorelink's notice to you thereof; provided that, Chorelink can terminate the Website immediately as part of a general shut down of our service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

  11. Disclaimer of Warranties. The Website is provided "as is". Chorelink and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Chorelink nor its suppliers and licensors, makes any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Website at your own discretion and risk.

  12. Limitation of Liability. In no event will Chorelink, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Chorelink under this agreement during the twelve (12) month period prior to the cause of action. Chorelink shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

  13. General Representation and Warranty. You represent and warrant that (i) your use of the Website will be in strict accordance with the Chorelink Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.

  14. Indemnification. You agree to indemnify and hold harmless Chorelink, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.

  15. Miscellaneous. This Agreement constitutes the entire agreement between Chorelink and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Chorelink, or by the posting by Chorelink of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Website will be governed by the laws of the state of Michigan, U.S.A., excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in Ottawa County, Michigan. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. ("JAMS") by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in Ottawa County, Michigan, in the English language and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to costs and attorneys' fees. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under this Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; Chorelink may assign its rights under this Agreement without condition. This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.

  16. General Liability Disclaimer. Chorelink.com, the site address for the company Chorelink LLC (further referred to as, "this site" or "the site" or "the company" or "Chorelink") is solely a venue for users to connect with each other. The site, the company, its owner(s) and/or officers, and affiliates are in no way responsible for the act of or outcome of any services rendered as a result of the use of this site or the company, including any or all expenses of or consequences of physical, mental, psychological, or reputational injuries sustained by any person, business, or entity or damage(s) to any and all personal property owned by, used, or vacated by any person(s) or business(es) involved with or related to the agreed upon service(s) performed by and/or between any person(s), parties, entities, or businesses as a result of any use, association, or knowledge of the site and/or the company. The company and the site are not responsible for the integrity of and agreements on contracts set forth by users on this site via this site. Indemnities, waivers, releases, or any other contractual form(s) not mentioned here that pertain to legal agreements including any employment contracts, compensation, property damage liability, or personal injury liability between parties who/which/that are connected as a result of the use of or content of this site or the company are the sole responsibility of the users/ parties or persons that/which/who are either hiring an individual or business OR performing agreed upon services. Chorelink shall not, does not, and will not suggest or provide any documents to be used for any of the previously mentioned contractual or liability agreements between users of the site and/or those who have entered into any agreement as the result of the use of the site or the company or as a result of being connected with a user formerly or currently affiliated with the site or the company in any way. Any documents used for and signed with the intention(s) of upholding any pre-determined agreement(s) between the users of this site or otherwise relevant parties entering into an agreement that resulted from or originated as a result of the use of the site or the company are the responsibilities of those users/parties and shall not, cannot, and will not be endorsed, supported, or approved by Chorelink, its owner(s), officers, or affiliates, including any advertisers and web sites owned and/or managed by any entities/businesses/people which have links to and/or from the site. Under no circumstance whatsoever shall or will Chorelink or its owner(s) or officers or developer(s) or affiliates be held liable for any service, favor, task, chore, deed, job, or similar act performed or the outcome as a direct result of the use of or awareness of the site or the company, or as a result of discovering a particular person and/or business as a result of the use of or awareness of the site or the company. Chorelink shall not be held liable or accountable or responsible in the event a user's personal reputation or his or her business's reputation is deemed as having been damaged or harmed as a result of any or all actions committed as a result of the use of the site or the company or as a result of any or all actions committed because of the existence and/or intent of the site and the company. Chorelink reserves the right to delete any user, service request post, or affiliate at any time for any reason.

  17. User Identities and Account Info. Upon registering as a user on Chorelink, users are filtered into unique database fields, with respect to their intended use of the site. The intent of this is to maximize the efficiency of our communications with users via automated emails, newsletter emails, promotional emails and to analyze the activity of the various user groups for internal reporting purposes. User identities, including personal contact information will not be available to or shared with any third parties or outside individuals. Posters' elected contact information will be accessible to all Service Alert subscribers who respond before the status of the request is changed to "Done". Any subscribed provider known to disperse or share other users' private contact information will be subject to immediate termination and possible legal action.

  18. Posting Service Requests. By submitting a post publicly on Chorelink, users are allowing any "helpers" subscribed to "Chore Alert" to contact them via their selected method(s) (email or phone) chosen on the "Post Your Chore" page. Users may be contacted until the status of their respective post(s) is changed from "Available" to "Completed", whether the status is manually modified by the user or changes by default after the 30 day expiration. Some or all of users' posted service request information may be made public or shared on various social networking sites. Every chore posted must be a valid need or want. Users shall not post unneeded or unwanted requests so as to investigate the functionality or viability of the site, the program, or "helpers". Chorelink reserves the right to permanently ban certain individuals from the site if such actions occur. Any photos that are attached to posts will be publicly visible on the internet. Users shall not include any personal contact information or links in their post(s), including telephone numbers, website addresses, and email addresses. Users can edit the status of their post(s) at any time before the 30 day expiration. Users shall submit their specific task offers with as much pertinent information available. The respective contact method(s) users elect to make visible to Chore Alert subscribers reflect the same information that was entered when registering, unless this information was edited by the user. Flagrant or foul language in post(s) may result in being banned from the site. Submitting duplicate posts multiple times may result in being banned from the site.

  19. Subscriptions and Subscribers. By becoming a subscriber to "Chore Alert", you agree that the information you entered and submitted during your subscription application was/is correct. You agree that Chorelink reserves the right to cancel your subscription and terminate your access to and use of the site permanently at any time for any reason. You agree that you are solely responsible for performing any agreed upon services for any Chorelink user and you solely liable for any contractual obligations or property damage while performing any service for any Chorelink user. Per the above "General Liability Disclaimer", Chorelink, its owner(s), officers, and affiliates are never responsible or liable for such instances. You understand that selecting and submitting a subscription option binds you to the respective financial obligation, relative to the parameters and terms that were chosen upon subscribing. There will be no refunds on approved credit card, debit card, PayPal, or check wire transactions. Monthly subscribers are agreeing to pay their subscription's respective amount of money each month until the subscription is cancelled by the subscriber online via the Dashboard page. Monthly payments will automatically be made via the payment method used when subscribing and will continue to be drawn until the subscription is canceled by the subscriber online via the Dashboard page. Yearly subscription terms will be automatically renewed on the following year one day after the current year's subscription approval date with the same payment method that was used when subscribing unless the subscriber cancels the subscription on or before the current year's subscription approval date in the following year. Subscribers fully understand to and agree with these subscription terms and they are aware that they can cancel their subscriptions at any time on their My Account page, relative to the duration of and terms for the previously agreed upon subscription. A cancellation terminates the automatic renewal of the subsequent month's (or year's) subscription and subscribers will not be reimbursed for previous payments, as the previous payment's terms are associated with the respective subsequent monthly or yearly duration. Payments will continue to be drawn from the payment source originally entered at the time of subscribing, for both monthly or yearly terms, until the subscription is cancelled or until the means of payment are modified to an alternative credit card, bank account, etc. via the users dashboard. If payments are not received because of credit card or bank account issues or insufficiencies, the user will be contacted immediately to discuss alternative payment methods and the user account may be subject to immediate termination. Chorelink makes no guarantee that "helpers" will receive a minimum number of task offers (Chore Alerts) and makes no guarantee that all "helpers" will be "hired" by users on the site to provide services. It is the responsibility of each individual "helper" to initiate a successful connection with a consumer user towards the intended result of being "hired" to perform the tasks/services that are needed by the consumer/poster.

  20. Hiring Helpers. Chorelink users agree that who and if they hire is solely their responsibility and Chorelink will not suggest a particular "helper" to hire or force them to hire a provider via Chorelink. Users must use their own judgment and make their own educated hiring decisions with respect to the particular need at hand, the responding "helpers", and the different priorities involved. Chorelink does not screen its "helpers" in the form of criminal background checks, insurance, or any other measure. Refer to the General Liability Disclaimer above for liability concerning contracts and damages.

  21. Responding to Posters. "Helpers" will have the ability to respond to users who posted task requests via the methods(s) that particular user elected to be made visible to Chore Alert subscribers only. Although good communication enhances the experience for everyone, users are in no way obligated to either hire a particular "helper" or even respond back to a helper's email message or phone call. Any helper known to abuse his or her communication rights will be subject to termination. Examples of this include multiple unnecessary emails or phone calls, "badgering" users, or sharing users' contact information with anyone.

  22. Emails and Newsletters. All Chorelink.com users are subject to receive various emails, including (but not limited to) reminders, account modification confirmations, welcome information, important site functionality information, etc. All registrants will have the ability to opt out of newsletter emails, which are sent at various unscheduled and scheduled dates and times. Newsletter emails will include general site information, updates, statistics, events, news stories, polls, surveys, etc.
